These Terms of Service ("Terms") govern your use of the SallesCérémonie website located at sallesceremonie.ca (the "Platform"), operated by SallesCérémonie ("we," "us," or "our"), a business based in Montreal, Quebec, Canada.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

"User" means any individual who accesses the Platform, whether as a visitor, a couple searching for venues, or a venue owner.

"Searcher" means an individual who uses the Platform to browse or inquire about ceremony venues.

"Venue Owner" means an individual or business that lists a venue on the Platform.

"Listing" means a venue profile published on the Platform by a Venue Owner.

"Inquiry" means a message sent through the Platform by a Searcher to a Venue Owner.

"Subscription" means a paid or free plan that grants a Venue Owner access to listing features on the Platform.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of the Province of Quebec to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Platform Description

SallesCérémonie is a bilingual online directory that connects individuals planning ceremonies with venue owners in the Greater Montreal area. The Platform allows Searchers to browse venue listings, filter by ceremony type, neighbourhood, capacity, and other criteria, and send inquiries to Venue Owners.

The Platform is a directory and communication facilitator only. We are not a party to any agreement between a Searcher and a Venue Owner. We do not own, operate, manage, or control any venue listed on the Platform. We do not guarantee the accuracy of any listing, the availability of any venue, or the outcome of any inquiry or booking.

4. User Accounts

4.1 Account Creation

Venue Owners must create an account to list a venue. Searchers may send inquiries without creating an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate any account at our discretion, with or without notice, for any reason, including but not limited to violation of these Terms.

5. Venue Owner Terms

5.1 Listings

Venue Owners are solely responsible for the accuracy, completeness, and legality of their listings, including descriptions, photos, pricing, and availability. You represent and warrant that you have the legal right to offer the venue for rent and that all information in your listing is truthful.

5.2 Photos

You represent and warrant that you own or have obtained all necessary rights and permissions to use any photos uploaded to the Platform. You grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute your photos on the Platform and in related marketing materials for the duration of your listing.

5.3 Subscriptions and Payments

Subscription plans, pricing, and features are described on the Platform and may change from time to time. Subscriptions are billed in advance on a monthly or annual basis, as selected by the Venue Owner. Payments are processed through Stripe. All fees are in Canadian dollars (CAD) and are subject to applicable taxes (GST/QST).

5.4 Free Trial and Founding Member Programs

We may offer free trial periods or promotional programs (such as founding member pricing). The terms of such programs will be communicated at the time of enrollment. At the end of a free period, your account will convert to a paid plan or revert to the free tier, as applicable, unless you cancel before the free period ends.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5.6 Content Standards

Listings must not contain content that is false, misleading, defamatory, discriminatory, obscene, or otherwise illegal under Quebec or federal law. We reserve the right to remove any listing that violates these standards.

6. Searcher Terms

6.1 Inquiries

When you send an inquiry through the Platform, your name, email address, and inquiry details are transmitted to the Venue Owner. You consent to this transmission. We are not responsible for any communication that occurs between you and the Venue Owner after the initial inquiry.

6.2 No Booking Guarantee

The Platform facilitates introductions between Searchers and Venue Owners. We do not guarantee that any venue is available, that any Venue Owner will respond to your inquiry, or that any booking will result from your inquiry.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Post false, misleading, or fraudulent information.
• Scrape, harvest, or collect data from the Platform using automated means without our prior written consent.
• Interfere with or disrupt the Platform or the servers or networks connected to it.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Circumvent the inquiry system to avoid Platform fees or tracking.
• Use contact information obtained through the Platform for unsolicited communications unrelated to the purpose of the inquiry.
• Upload viruses, malware, or any other harmful code.

8. Intellectual Property

8.1 Platform Content

All content on the Platform not provided by users — including text, design, logos, graphics, software, and the overall look and feel of the Platform — is owned by SallesCérémonie or its licensors and is protected by Canadian and international intellectual property laws.

8.2 User Content

You retain ownership of the content you submit to the Platform (including listing descriptions and photos). By submitting content, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with the operation and promotion of the Platform.

8.3 Trademarks

"SallesCérémonie" and our logo are our trademarks. You may not use them without our prior written consent.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any information provided through the Platform is accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by law, SallesCérémonie and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars ($100 CAD).

11. Indemnification

You agree to indemnify, defend, and hold harmless SallesCérémonie, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, available at sallesceremonie.ca/en/privacy. Please review it carefully.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute arising out of or relating to these Terms or the Platform shall be submitted to the exclusive jurisdiction of the courts of the District of Montreal, Province of Quebec.

15. Language

These Terms are available in both English and French. In the event of any discrepancy between the English and French versions, the French version shall prevail, in accordance with the Charter of the French Language (Quebec).

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SallesCérémonie regarding your use of the Platform.
